These Terms and Conditions ("Terms") govern your access to and use of the website operated by Fabra Forma LLP at https://fabraforma.com (the "Website") and the services provided through it (the "Services"). By accessing or using the Website and/or the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations in India and your jurisdiction.
1. KEY DEFINITIONS
- 1.1. Fabra Forma LLP: Located and established at Mumbai, India (also referred to as "we," "us," or "our"). Fabra Forma LLP operates the Website and facilitates connections between Customers and 3D Print Services.
- 1.2. 3D Files: Digital 3D models or designs in printable formats (e.g., STL, OBJ) supplied by a User or Customer.
- 1.3. 3D Print: A physical object produced by a 3D printer, based on 3D Files, and manufactured by a 3D Print Service.
- 1.4. 3D Print Service(s): An independent third-party company or individual registered on the Website who owns and operates a 3D printer and offers 3D printing services to Customers through the Website.
- 1.5. Content: Includes 3D Files, images, videos, text, reviews, or any other content uploaded, submitted, or displayed by a User or 3D Print Service on the Website.
- 1.6. Customer(s): A User who places an Order through the Website for a 3D Print to be manufactured by a 3D Print Service.
- 1.7. Order: A request placed by a Customer through the Website for a 3D Print job with a selected 3D Print Service, involving the transformation of the Customer's 3D Files into a 3D Print, subject to payment of the Printing Fee and Service Fee.
- 1.8. Printing Fee: The total fee payable to the 3D Print Service for their 3D printing services, including material costs, setup costs, and any other charges levied by the 3D Print Service for producing the 3D Print, as quoted and agreed upon in the Order.
- 1.9. Service Fee: The fee, calculated as a fluctuating percentage (%) of the Printing Fee, payable to Fabra Forma LLP for providing the online platform and facilitating the Services, including payment processing. This fee is subject to applicable taxes (e.g., GST).
- 1.10. Services: The services provided by Fabra Forma LLP through the Website, primarily acting as an online platform to facilitate the connection between Customers and 3D Print Services, and to manage payment transactions.
- 1.11. Terms and Conditions: These terms and conditions of service.
- 1.12. User: Any natural person or legal entity making use of the Website or any Services offered through it, including Customers and 3D Print Services.
- 1.13. Website: The website operated by Fabra Forma LLP, currently located at https://fabraforma.com.
2. GENERAL PROVISIONS
- 2.1. Acceptance of Terms: These Terms govern your use of the Website and the Services. By using the Website, registering an account, or placing an Order, you explicitly acknowledge and agree to have read, understood, and be bound by these Terms and to comply with all applicable laws and regulations in India and your jurisdiction.
- 2.2. Amendments: Fabra Forma LLP reserves the right to modify, update, or change the Website, the Services, and these Terms at any time. Any such amendments will be effective immediately upon posting on the Website or by notifying you through other reasonable methods (e.g., email to your registered address). We will endeavor to provide reasonable notice of significant changes. Your continued use of the Website and/or Services after such changes constitutes your acceptance of the revised Terms.
- 2.3. Nature of Service: Fabra Forma LLP solely provides an online platform that facilitates the connection between Customers and independent 3D Print Services. Fabra Forma LLP is NOT a party to any agreements entered into directly between 3D Print Services and Customers for the manufacturing of 3D Prints, nor is Fabra Forma LLP a manufacturer, provider of 3D printing services, or a financial service provider (other than facilitating payment processing).
- 2.4. Disclaimer Regarding Third Parties: Fabra Forma LLP has no control over, and disclaims all liability for, the conduct of 3D Print Services and Customers, the accuracy or legality of Content uploaded to the Website by Users, or the quality, safety, or legality of the 3D Prints and services provided by 3D Print Services. Information available on Fabra Forma LLP’s database regarding 3D printing materials and machines is based on information provided by manufacturers and/or 3D Print Services; Fabra Forma LLP is not responsible for the accuracy of this information.
3. FABRA FORMA LLP SERVICES
- 3.1. Platform Facilitation: Fabra Forma LLP's Services are limited to:
- Providing an online platform where 3D Print Services can list their capabilities, materials, and pricing.
- Enabling Customers to upload 3D Files, select a 3D Print Service, and place Orders for 3D Prints.
- Facilitating the payment transaction between Customers and 3D Print Services by collecting the total Order amount (Printing Fee + Service Fee) from the Customer and remitting the Printing Fee to the 3D Print Service after successful delivery confirmation, as per Clause 7.
- 3.2. Shipment: The 3D Print Service is solely responsible for packaging and shipping the 3D Print directly to the Customer. Fabra Forma LLP is not responsible for shipping or delivery logistics.
4. USER ACCOUNTS AND OBLIGATIONS
- 4.1. Eligibility: The Services are available only to individuals who are 18 years or older and capable of forming legally binding contracts under Indian law. By registering an account, you represent and warrant that you meet these eligibility requirements.
- 4.2. Account Registration: To use certain Services, Customers must register an account by providing accurate, current, and complete information as requested. 3D Print Services must provide specific details as outlined in Clause 5. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify Fabra Forma LLP immediately of any unauthorized use of your account.
- 4.3. Prohibited Conduct: Users warrant that all information submitted to the Website is accurate, truthful, and lawful, and does not infringe any rights of third parties. Users agree not to use the Services or Website to:
- Send unsolicited mass mailings ("spam").
- Launch or use any automated means or process, including "spiders," "robots," "load testers," etc., to generate excessive communication or create false accounts.
- Collect or store personal information from other Users without their explicit consent or beyond the normal course of using the Service.
- Threaten or harass any person or entity.
- Gain or attempt to gain unauthorized access to any computer system, server, network, or hardware of Fabra Forma LLP, other Users, or any third party.
- In any way overload, damage, disable, disrupt, or harm the Service or interfere with any other User’s use of the Service.
- Adapt, modify, or reverse engineer any of Fabra Forma LLP’s systems or protocols.
- Reformat, resell, or redistribute the Service in any way without Fabra Forma LLP's explicit written consent.
- Upload, transmit, or distribute any Content that is restricted as per Clause 6.
- 4.4. Suspension/Termination: If a User fails to comply with these Terms, Fabra Forma LLP can, at its sole discretion and without any compensation or liability, deny the User any further access to the Website and/or any of its Services, and may suspend or terminate their account. Any attempt by a User to damage the Website or undermine the legitimate operations of the Services may be a violation of criminal and civil laws, and Fabra Forma LLP reserves the right to seek damages from any such User to the fullest extent permitted by law.
5. 3D PRINT SERVICE OBLIGATIONS
- 5.1. Registration Information: When a User registers as a 3D Print Service, they must provide at least the following accurate and complete information:
- a) 3D Print Service Details: A detailed description of the 3D Print Service, contact phone number, service area/community, delivery preferences, exact location (for shipping calculations), and bank details for payment processing.
- b) Printer Details: Specifics of the 3D printers used, including models, printing capabilities, available print qualities, build volumes, start-up costs per printing job, and estimated delivery times to complete 3D Prints.
- c) Material Details: Types of materials offered for 3D Prints, cost per unit volume (e.g., cm³), and available colors.
- 5.2. Order Fulfillment: Upon acceptance of an Order and confirmation of payment from Fabra Forma LLP, the 3D Print Service warrants to:
- Supply the 3D Print in the material and color selected by the Customer.
- Produce the 3D Print within the standard technical boundaries and quality parameters of the 3D Print Service’s specified 3D printer.
- Complete the 3D printing services and ship the 3D Print within the delivery time indicated on their profile and in the Order.
- Package the 3D Print securely to prevent damage during transit.
- 5.3. Quality and User Experience: To ensure the quality and user experience of the Website and its Services, Fabra Forma LLP can, at its sole discretion and without compensation, deny a 3D Print Service further access to the Website and/or Services if they fail to meet the requirements stipulated in Clause 5.2, or do not respect these Terms and Conditions. This may include, but is not limited to, repeated negative feedback from Customers, failure to deliver orders, or quality issues.
- 5.4. Tax Obligations: 3D Print Services understand and agree that they are solely responsible for determining their applicable tax reporting requirements and for remitting any applicable taxes (including GST) for the 3D printing services they provide to Customers through the Website.
- 5.5. Third-Party Beneficiary: 3D Print Services accept that they are third-party beneficiaries of, and are thereby entitled to enforce directly against Customers, the representations, warranties, and indemnification obligations provided by Customers as set forth in Clauses 6.7 and 12.4.
6. CONTENT POLICY AND INTELLECTUAL PROPERTY
- 6.1. User Responsibility for Content: Customers are solely responsible and liable for the Content they upload to the Website. Users must refrain from uploading, transmitting, or distributing any Restricted Content. If a 3D Print Service receives Restricted Content from a Customer, they shall refuse the Order and immediately inform Fabra Forma LLP.
- 6.2. Restricted Content: Content is restricted if it:
- a) Violates or infringes a third party’s rights, including but not limited to privacy, publicity, or any intellectual property rights (including copyright, patent, design right, trademark, trade secret, or any other proprietary rights).
- b) Contains pornographic, obscene, or sexually explicit content.
- c) Contains information about or relating to firearms, weapons (including functional parts thereof), ammunition, or any components designed to assemble such items.
- d) Contains information which is false, inaccurate, misleading, harassing, racially or ethnically offensive, harmful to minors, libelous, defamatory, or promotes hate speech.
- e) Contains trojan horses, viruses, worms, malware, or other harmful or destructive software code.
- f) Is contrary to or in violation of any applicable law or regulations, including any applicable export control laws and regulations of India or any other relevant jurisdiction.
- g) Encourages or facilitates illegal activities.
- 6.3. License for General Content: By submitting Content (excluding your 3D Files specifically uploaded for printing purposes, covered in 6.4 and 6.5) through the Services or Website, the User grants Fabra Forma LLP a worldwide, non-exclusive, royalty-free, fully paid, sub-licensable, and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the Content in connection with the Website and/or the Services, including without limitation for promoting and redistributing part or all of the Website or the Services (and derivative works thereof) in any media formats and through any media channels.
- 6.4. License for 3D Files (Printing Purpose): By submitting 3D Files for an Order through the Services or Website, the Customer grants Fabra Forma LLP and the specific 3D Print Service accepting the Order a non-exclusive, royalty-free, worldwide, non-transferable license solely:
- i) To review the 3D Files on the basis of technical specifications (including but not limited to checking for any technical errors, printability, and compliance with these Terms).
- ii) To use the 3D Files for the sole purpose of manufacturing the 3D Print to fulfill the Order placed by the Customer.
- 6.5. License for Public 3D Files: In the case that the Customer explicitly indicates consent by marking 3D Files as "public" or similar, the Customer grants Fabra Forma LLP a non-exclusive, royalty-free, worldwide, non-transferable license to display the 3D Files on the Website for promotional or showcase purposes. Fabra Forma LLP will make reasonable efforts to attribute the Creator if the option is available.
- 6.6. User Warranties Regarding IP: The Customer represents and warrants that they possess all necessary rights, licenses, consents, and permissions to grant the licenses set forth in Clauses 6.3, 6.4, and 6.5, and that the Content and 3D Files submitted do not and will not infringe, misappropriate, or violate any third-party rights, including without limitation, any privacy rights, publicity rights, intellectual property rights (including any copyright, patent, design right, trademark, trade secret, or any other proprietary rights), or any other proprietary rights.
- 6.7. Indemnification for IP Infringement: Customers agree to indemnify and hold Fabra Forma LLP and the 3D Print Service harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from or relating to any claim that the 3D Files or Content uploaded by the Customer infringe, misappropriate, or violate any intellectual property rights or other proprietary rights of any third party.
- 6.8. Fabra Forma LLP's IP Rights: All intellectual property rights, including but not limited to any copyright, trademark, and database right, in the Services or Website (excluding User-submitted Content) and the selection and arrangement thereof belong to Fabra Forma LLP, its licensors, or other third parties. All rights in the Services and Website not expressly granted herein are reserved.
- 6.9. Content Monitoring and Removal: Fabra Forma LLP does not claim any ownership rights over User-submitted Content and has no obligation to review Content. However, Fabra Forma LLP reserves the right to remove and/or block any Content uploaded to its Website or Services for any reason, including but not limited to violations of these Terms or applicable law, without prior notice. Fabra Forma LLP shall not be held responsible for the Content uploaded to its Website or Services.
7. ORDER PROCESS AND PAYMENT
- 7.1. Order Placement: To order a 3D Print, the Customer must follow the online ordering process on the Website, which typically consists of the following steps:
- a) Upload/Select 3D Files: Customer uploads 3D Files in specified formats or selects from public 3D Files (if available).
- b) Configuration: Customer selects the preferred 3D Print Service, material, color, and any other relevant specifications for the 3D Print.
- c) Pricing & Review: The Website will display the estimated Printing Fee and Service Fee. Customer provides billing and shipping information. Customer reviews all details of their Order.
- d) Order Confirmation Request: Customer confirms their Order, which then enters a technical review and acceptance phase.
- e) Technical Review & 3D Print Service Acceptance: Fabra Forma LLP reviews the 3D Files for technical feasibility. The Order is then forwarded to the selected 3D Print Service for their review and acceptance. The 3D Print Service typically has 24 hours to accept the Order. If accepted, Fabra Forma LLP will send an Order confirmation on behalf of the 3D Print Service to the Customer's registered email address. If the 3D Print Service cannot accept the Order within the given timeframe or for any other valid reason (e.g., technical unfeasibility, restricted content), Fabra Forma LLP may cancel the Order and notify the Customer.
- f) Payment: The Customer must pay the total amount (Printing Fee + Service Fee + applicable taxes, shipping costs) indicated on the Order confirmation within 48 hours after the Order has been accepted by the 3D Print Service. Payment is processed through Fabra Forma LLP, which temporarily holds the Printing Fee on behalf of the 3D Print Service. The 3D Print Service may cancel the Order if full payment is not received within this timeframe.
- 7.2. Payment Methods: Current accepted payment methods include Credit Card, PayPal, and certain local payment services, as indicated on the Website. Fabra Forma LLP reserves the right to change accepted payment methods without prior notice.
- 7.3. Order Commencement & Fulfillment: Upon successful receipt of the full payment confirmation from Fabra Forma LLP, the 3D Print Service shall commence performing the 3D printing services immediately. The 3D Print Service shall complete the 3D printing services and ship the 3D Print within the delivery time indicated on their profile and in the Order.
- 7.4. Funds Transfer: Within 4 days after the Customer confirms receipt of the Order on the Website (or the 3D Print Service indicates delivery and no customer dispute arises within this period), Fabra Forma LLP will transfer the Printing Fee to the bank or PayPal account provided by the 3D Print Service.
- 7.5. Order Status Notifications: Fabra Forma LLP will inform both the Customer and the 3D Print Service about the status of the Order during the process by sending emails to their registered email addresses.
8. UNACCEPTABLE & CANCELLED ORDERS, REFUNDS, AND RETURNS
- 8.1. Cancellation by Fabra Forma LLP or 3D Print Service: During the entire ordering process, including after initial acceptance of the Order by the 3D Print Service, Fabra Forma LLP and the 3D Print Service may, at their sole discretion, not accept or cancel an Order for valid reasons. These reasons include, but are not limited to:
- Technical unfeasibility to print the 3D Files.
- The 3D Files or Content being in violation of these Terms and Conditions or any applicable law or regulations.
- Non-payment of the total Order amount by the Customer within the stipulated timeframe.
- Issues with material availability or printer functionality.
- Suspected fraudulent activity.
- Pricing errors (as per Clause 9.3).
- Force Majeure events (as per Clause 13).
- In such cases, any amounts paid by the Customer will be refunded in full.
- 8.2. Cancellation by Customer: Due to the personalized and custom-manufactured nature of 3D Prints, Customers generally cannot cancel an Order after payment has been successfully processed and the 3D Print Service has commenced manufacturing.
- 8.3. Quality Issues & Claims: Fabra Forma LLP only facilitates the transaction between Customers and 3D Print Services. Fabra Forma LLP does not provide any implied or explicit warranties relating to the 3D Prints and does not guarantee that the 3D Prints will be fit for any particular purpose. Customers are urged to inspect 3D Prints immediately upon receipt. Any reclamations, claims, or disputes related to the quality, defects, or non-conformity of 3D Prints should be directly addressed to the relevant 3D Print Service. Fabra Forma LLP disclaims all liability in this regard.
- 8.4. Refunds for Defective/Non-Conforming Prints (3D Print Service Policy): While Fabra Forma LLP facilitates payments, the responsibility for the quality and conformity of the 3D Print lies with the 3D Print Service. Customers should refer to the specific return/refund policy of the chosen 3D Print Service, which should be available on their profile. Fabra Forma LLP may, at its discretion, offer limited assistance in mediating disputes but is not obligated to provide refunds for manufacturing defects.
- 8.5. Shipping Damage: If a 3D Print is damaged during shipping, the Customer must report the damage to the 3D Print Service and Fabra Forma LLP (for documentation purposes) within 24 hours after confirmation of receiving delivery, providing photographic evidence. The resolution (replacement or refund) will be at the discretion of the 3D Print Service.
- 8.6. Non-Delivery: If an Order is not delivered within the agreed-upon timeframe, the Customer should first contact the 3D Print Service. If the issue persists, the Customer should notify Fabra Forma LLP. Fabra Forma LLP will investigate and may facilitate a refund of the total Order amount if non-delivery is confirmed.
9. FEES AND PRICING
- 9.1. Total Order Amount: The indicated total amount of the Order includes the Printing Fee, Service Fee, and any applicable taxes concerning the Service Fee (e.g., GST). It excludes any import/export duties, customs charges, or shipping costs, which shall be borne by the Customer unless otherwise explicitly stated by the 3D Print Service.
- 9.2. Price Changes: The Printing Fee, Service Fee, or any other prices displayed on the Website are indications only and are valid only for the moment they are displayed. The 3D Print Service and Fabra Forma LLP reserve the right to change any indicated prices on the Website without prior notice. Such changes will not affect Orders that have already been confirmed by the 3D Print Service and fully paid by the Customer.
- 9.3. Pricing Errors: Fabra Forma LLP endeavors to prevent errors in pricing. However, should a significant error occur in the pricing indicated on the Website or in an Order confirmation, neither the Customer, the 3D Print Service, nor Fabra Forma LLP shall be bound by that Order. In such cases, the Order may be cancelled, and any amounts paid related to that Order will be refunded to the Customer.
- 9.4. Currency: All prices will primarily be indicated in Indian Rupees (INR) for Indian customers. For international transactions, an equivalent in a commonly accepted currency (e.g., USD) may be displayed, but the final transaction currency and exchange rates may apply based on the payment gateway.
10. PRIVACY POLICY
- 10.1. Data Collection and Use: In order to use the Services (e.g., setting up a Fabra Forma LLP account, designating as a 3D Print Service, placing an Order), Users will be required to supply certain personal information. Fabra Forma LLP has specified which information is required to use the Services. This information will be used by Fabra Forma LLP for the sole purpose of providing, maintaining, and improving the Services, and for other purposes as detailed in our separate Privacy Policy.
- 10.2. Reference to Privacy Policy: Your use of the Website and Services is also governed by our Privacy Policy, available at https://fabraforma.com/privacy-policy, which is incorporated into these Terms by reference. The Privacy Policy explains how Fabra Forma LLP collects, uses, stores, protects, and discloses your personal information, as well as your rights regarding your data, in compliance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023.
11. LIABILITY & INDEMNIFICATION
- 11.1. Limitation of Fabra Forma LLP's Liability: To the maximum extent permitted by applicable law, in no event shall Fabra Forma LLP, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:
- Your access to or use of, or inability to access or use, the Website or Services.
- Any conduct or Content of any third party on the Website or Services (including 3D Print Services or other Users).
- Any 3D Prints or services obtained from a 3D Print Service through the Website.
- Unauthorized access, use, or alteration of your transmissions or Content.
- Except to the extent such damages arise directly from the proven willful misconduct or gross negligence of Fabra Forma LLP and its senior management.
- 11.2. Aggregate Liability: In no event shall Fabra Forma LLP’s total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort, including negligence, or otherwise) exceed the amount of the Service Fees paid by you to Fabra Forma LLP in the twelve (12) months immediately preceding the event giving rise to the claim.
- 11.3. User Indemnification of Fabra Forma LLP: You agree to indemnify, defend, and hold harmless Fabra Forma LLP, its affiliates, directors, employees, and agents from and against all liabilities, claims, damages, losses, and expenses (including reasonable attorney fees) arising from or relating to:
- Your breach of these Terms and Conditions.
- Your violation of any applicable law or the rights of a third party.
- Any Content you submit, post, transmit, or make available through the Website or Services.
- Any dispute between you and a 3D Print Service or another User.
- 11.4. Customer Indemnification of 3D Print Service: The Customer placing an Order with a 3D Print Service specifically agrees to indemnify and hold that 3D Print Service harmless from and against all liabilities, claims, damages, and expenses (including reasonable attorney fees) arising from or relating to any claims that result from the Customer’s breach of these Terms and Conditions, particularly the warranties and representations given in Clause 6.7 regarding intellectual property and content.
12. APPLICABLE LAW AND JURISDICTION
- 12.1. Governing Law: These Terms and Conditions and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
- 12.2. Jurisdiction: Any dispute, claim, or cause of action arising out of or in connection with these Terms or your use of the Website or Services shall be submitted to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- 12.3. Compliance with Local Laws: Fabra Forma LLP does not guarantee that the Services offered through its Website can be used in all locations outside India. You are solely responsible for ensuring that your use of the Services and Website complies with your local applicable laws and regulations.
13. FORCE MAJEURE
- 13.1. Definition: Fabra Forma LLP and 3D Print Services shall not be liable for any failure or delay in performing their obligations hereunder where such failure or delay results from any cause beyond their reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials, pandemic, or other unforeseen circumstances (a "Force Majeure Event").
- 13.2. Notification: In the event of a Force Majeure Event, the affected party shall promptly notify the other party and take reasonable steps to mitigate the effects of the Force Majeure Event.
14. SEVERABILITY
- 14.1. Validity of Provisions: If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then the invalid or unenforceable provision will be replaced by a valid, enforceable provision that most closely matches the intent of the original provision, and the remaining provisions shall continue in full force and effect.
15. MISCELLANEOUS
- 15.1. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Fabra Forma LLP on the Website, constitute the entire agreement between you and Fabra Forma LLP concerning the Services.
- 15.2. No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Fabra Forma LLP's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- 15.3. Assignment: You may not assign or transfer your rights or obligations under these Terms without Fabra Forma LLP's prior written consent. Fabra Forma LLP may freely assign or transfer these Terms without restriction.
